How to use this table
These Terms are set forth in a table format, with the full legal text in the left column and a corresponding reference summary in the right column. You are responsible for and will be bound by the full legal text set forth in the left column. Do not rely on the reference summary in the right column, as this is provided to you for ease of reference only. The summary column is not part of these Terms and provides no bearing on the substantive meaning of the Terms.

These Terms and Conditions of Use (the “Terms”) apply to any and all domains of “therpy.com,” including, but not limited to “app.therpy.com,” “www.therpy.com,” and “therpy.com,” (the “Websites”) which are owned and operated by Cloud 9 Pixels, Inc., a Minnesota corporation (collectively, “Therpy”). These Terms create a legal agreement between each user of the Websites (“you” or the “User(s)”) and Therpy. These terms may change from time to time, and include any notices that are posted to the Websites. Each time you use the Websites, you consent to be bound by these Terms. If you do not wish to be bound by these Terms, you should not use the Websites.
If you use the Websites, you are bound by these Terms, which may change from time to time.
Subscription to the App
Therpy offers a free 14-day trial for use of the Therpy application (the “App”). Thereafter, use of the App requires a non-refundable monthly subscription pre-paid by credit card in order to add and/or edit data on the App. Users will be apprised of the monthly subscription fee upon registration for the App. Thereafter, Therpy may increase or decrease the monthly fee upon a minimum of 30 days notice to the User.

Access to the App
You can access and view your data at any time, regardless of whether you’re currently subscribed. If you misuse the Websites, Therpy can block you.
Therpy is not a treatment program. Therpy is a tool intended to be used by individuals over the age of 13 using an Exposure and Response Prevention (“ERP”) course of treatment under the guidance of a licensed health care professional (a “Professional”). Therpy, and, specifically, the App, does not treat Obsessive Compulsive Disorder or any other mental health condition for which an individual may use ERP under the direction and care of a Professional. If you are a parent or guardian of a child under the age of 13 and you have concerns about your child’s use of Therpy and his or her privacy related to such use, please contact Therpy directly.
Therpy is not a treatment program. It is a tool that can be used by individuals using ERP.
The Websites are provided “as-is,” “as-available,” and “with all faults.” Therpy makes no express or implied warranties of any kind, including, but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. Therpy may change the Websites in any manner and at any time.
The Websites are provided “as is.” The Websites may not work. The Websites may change.
Therpy is not responsible for damages of any kind on any theory of liability arising out of or in connection with use of the Websites, including, but not limited to damages incurred as a result of data loss or theft. The User will indemnify, defend, and hold Therpy harmless from all liability, loss, claim and / or expense arising from any violation of this Agreement or misuse of the Websites. Therpy reserves the right to assume exclusive defense and control of any matter subject to indemnification by the User. The User must cooperate with Therpy in asserting any available defenses.
Therpy won’t pay you damages for any reason. You will pay Therpy for the cost of defending against any claims that Therpy faces due to your violation of these Terms or misuse of the Websites.
You are responsible for using an email address that you own. Therpy collects minimal data from Users: IP address; email address; billing information.
All data entered into Therpy will be retained indefinitely for the sole purpose of providing customer support to Users, such as restoring accidentally deleted data. Therpy provides such customer support only to registered Users of the App. Therpy strives to respond to customer services requests within 24 hours, but makes no guarantee of such response.
Therpy retains data in case of accidental deletion by a User. Therpy provides customer service to registered Users.
Therpy values your privacy. Other than the User Information listed in Section VIII of these Terms, Therpy does not knowingly collect, maintain, or use personal information from or about any User. Users may input personal information into the App, but Therpy does not monitor such User data and provides no means for Users to electronically share such data with a third party. Data provided to or gathered by Therpy will be subject to the highest standards of confidentiality and will only be disclosed to a third party with your consent or if required by law. Therpy may share aggregate data about Therpy generally with third parties and/or the public, but such aggregate data will never disclose any personally identifiable information from or about any individual User. Therpy uses the https protocol to ensure data security.
Therpy will keep your individual information private.
Therpy and Users will communicate with one another only through the messaging service available through the App and/or by email. Therpy may also post notices on the Websites from time to time. As such, Users are responsible for monitoring the Websites and App, in addition to the email account provided to Therpy, as applicable, to ensure that Users are apprised of all relevant information regarding their relationship with Therpy. All communications provided through the Websites, including the App, and/or by email will satisfy any legal requirements that such communications be in writing.
Therpy and Users will communicate with one another electronically.
Therpy may request testimonials from Users of the Websites. Therpy may also receive unsolicited testimonials from time to time. Therpy may publicly post all testimonials it receives through whatever source. Testimonials reflect the individual experiences of one or more Users only. Testimonials provide no guarantee that an individual will have a particular experience with Therpy.

The Websites are the sole intellectual property of Therpy. Therpy grants each User a limited, non-exclusive license to access and make personal use of the App as a personal journal. Users may not use the Websites or App in any other manner, including any resale, reposting, or commercial use, without Therpy’s express written consent. User data is the sole intellectual property of the User and each User is responsible for the content of said data. User data includes all data that Users input into the App. Each User provides Therpy with an unlimited, irrevocable, perpetual, worldwide, royalty-free license to maintain the User data in accordance with these Terms.
Therpy owns the Websites. You own your data.
These Terms and all use of the Websites are governed by the laws of the State of Minnesota without regard to the conflicts of laws principles thereof. Users submit to the exclusive personal jurisdiction of the District Court of Hennepin County and the United States District Court for District of Minnesota and agree that these courts are the proper venues of any disputes that may arise under these Terms or through use of the Websites.
All disputes will be governed by Minnesota law and will be venued in Minnesota.
Any cause of action by User with respect to the Websites must be instituted within one year after the cause of action arose or be forever waived and barred.
Therpy may automatically assign these Terms and all incorporated agreements. You may not resell, assign, or transfer any of your rights or obligations under this Agreement without Therpy’s prior written consent.
If a court finds any portion of this Agreement invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
Failure to enforce a breach of these Terms will not be considered a waiver of any subsequent breach.
Headings and summaries are for convenience only and do not affect the interpretation of these Terms.
If something goes wrong, you have one year to bring an action.
Therpy can assign these Terms. You can only assign your rights and obligations with Therpy’s consent.
If a portion of these Terms is unenforceable, the remainder remains valid.
Failure to enforce does not constitute a future waiver.
